STANDARD TERMS AND CONDITIONS OF SALE

1. Introduction

These Standard Terms and Conditions of Sale ("Terms") govern the sale of goods and services by Squadwerk Innovations Pty Ltd ("Squadwerk," "we," "us," or "our") to you ("you" or "Client"). By placing an order with Squadwerk, you agree to be bound by these Terms.

2. General

  • Waiver of Client Terms: The Client explicitly waives its own standard terms and conditions, even if these were drawn up after these Terms.
  • Derogations: In order to be valid, any derogation from these Terms must be expressly agreed to in advance in writing by Squadwerk.
  • Governing Law: All our contractual relations will be governed exclusively by Australian law.

3. Orders and Acceptance

  • Order Placement: You may place an order through our website, email, or other designated channels.
  • Order Acceptance: All orders are subject to acceptance by Squadwerk. We reserve the right to reject any order for any reason.
  • Order Confirmation: Upon acceptance of your order, we will send you an order confirmation with the details of your order.

4. Prices and Payment

  • Prices: Prices for goods and services are as stated on our website or in our quotations. Prices are subject to change without notice.
  • Payment Terms: Our invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order.
  • Late Payment: In the event of non-payment by the due date, Squadwerk reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. Squadwerk will be authorized to suspend any provision of services without prior warning in the event of late payment.
  • Debt Recovery: If a payment is still outstanding more than sixty (60) days after the due payment date, Squadwerk reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the Client.
  • Withholding Tax: Certain countries apply withholding tax at source on the amount of invoices, in accordance with their internal legislation. Any withholding tax will be paid by the Client to the tax authorities. Under no circumstances can Squadwerk become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to Squadwerk in its entirety and does not include any costs relating to the legislation of the country in which the Client is located.

5. Delivery

  • Delivery Timeframes: Squadwerk undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results.
  • Delivery Costs: Delivery costs will be added to your invoice, unless otherwise specified.
  • Risk of Loss: Risk of loss or damage to goods passes to you upon delivery.

6. Liability

  • Third-Party Claims: Squadwerk cannot, under any circumstances, be required by the Client to appear as a third party in the context of any claim for damages filed against the Client by an end consumer.
  • Limitation of Liability: To the fullest extent permitted by law, Squadwerk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to the goods or services.  

7. Claims

In order for it to be admissible, Squadwerk must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.

8. Intellectual Property

  • Ownership: Unless otherwise agreed in writing, Squadwerk retains all intellectual property rights in any goods or services provided.
  • License: Where applicable, Squadwerk grants you a non-exclusive, non-transferable license to use the goods or services for their intended purpose.

9. Termination

Squadwerk may terminate these Terms and any related order for any reason, including but not limited to your breach of these Terms or our cessation of business operations.

10. Force Majeure

Squadwerk shall not be liable for any delay or failure to perform its obligations under these Terms due to any cause beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, strikes, lockouts, or other labor disputes.  

11. Entire Agreement

These Terms constitute the entire agreement between you and Squadwerk with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.  

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.  

13. Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by Squadwerk.

14. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, upon the first business day following deposit in the mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:
